SOFTWARE LICENSES : ORDER FORM & SALES CONDITIONS

I. HELP

If this text appears in the order form itself, the 
current help box can be called at any time by

NEW button if you just arrived).


II. WHAT ARE YOU BUYING ?

You order a registered version of one (or several) 
software, together with a specific license. The 
detailed license agreement is available on :

By ordering such software, you confirm that you already
tested successfully its demonstration version, which
is freely accessible and/or downloadable from our web 
site.

Due to the type of product (software/licenses without 
material support), no refunding will be accepted after 
the software is delivered : so, first test it, then
buy it !

Some browser-embedded software, designed to be stored 
on servers, are specifically locked to a web site and/or 
a particular domain name. It is possible to change
this lock for a small charge (8.00 Euro).

If you only wish to modify such a lock, please do 
not use this form. Instead, contact us directly by 
e-mail.


III. ELEMENTS OF THE ORDER

This order form allows you to order from 1 to 12 
registered software.

To order a software :
   click on the NEW button, and choose the software
   in the list.

To visualize or modify an item of your order :
   select the No in the ORDERS list.

To remove an item from your order : 
  select first the item to remove in the ORDERS list, 
  then click on the REMOVE button.

As you record your orders, the total current price is 
always adjusted in the top/right frame on the form. 
The price for each software package is displayed in 
the frame located just under the latter. Prices are
given VAT (European value-added tax) included. If you
don't reside on the territory of the European Union,
you don't have to pay the VAT, and the "VAT excluded"
price is the one which applies to you. EU-based 
companies or individuals with a valid, registered VAT 
number should read the additional information below. 

When your order is ready, fill in the rest of the form
with your name/address/e-mail, and payment method, 
than click on the CONFIRM ORDER button at the bottom of 
the form to send your order. No order will be sent or
recorded unless this button is pressed.

Do not forget to take note of the REFERENCE of your 
order, as shown next to the confirmation button. 


IV. LOCKED SOFTWARE

In case the software is to be locked to a particular
(sub-)domain, the following additional information is
requested :

1. NAME OF END LICENSEE

Give here the name of the owner (company or person) of
the web site to which the software will be locked. The 
owner of a web site is the owner of its content (and of 
its domain/subdomain), and not the owner of the physical 
hosting server.

2. URL OF THE LICENSED WEBSITE

Give here the base URL of your web site. The base URL
can be a domain name (like http://www.mydomain.com/)
or a subdomain name (like http://www.myisp/mysubdomain/).
The locked software will be able to work from within the
entire hierarchy of the base URL.

Four additional fields are available for eventual ALIASES
of your site name : an alias is just an alternative name
that refers to the same site. i.e. home pages on AOL can
be addressed by both prefixes "users" and "members". The
"http://mydomain.com" alias for "http://www.mydomain.com"
is automatically included : you don't need to give it.
Warning : an alias is not a pointer ! If your domain
(http://www.mydomain.com) points to another domain
(http://www.myotherdomain.net) and if the latter is the
one which should host the software, you should only record 
this second domain. The software is always locked to a web
site defined by 1 DNS, 1 IP, and located on one physical
machine.


VII. PAYMENT

Orders are processed only after confirmation of 
your FULL payment.

1. Credit card

THE recommanded method : fast, secure, and 
unexpensive. VISA, MASTERCARD, AMERICAN EXPRESS, 
JCB, MAESTRO, CARTE BLEUE, CIRRUS, VISA, VISA 
ELECTRON and EDC cards are accepted.

Your credit card data is to be sent through our
secure form. The secure form shows up when you 
click on the CONFIRM ORDER button, provided that 
you selected ONLINE WITH CREDIT CARD as your
PAYMENT METHOD.

The connexion is highly secured, using 40-bit or
128-bit SSL-3 encryption depending on your browser : 
the data are encrypted before being sent to your 
credit card company, through our partner ING 
(Internet Networking Group). ING is authorized to 
perform secure online payments by all major credit 
card companies.

ING offers a security chain forbidding us to store
sensible credit card data from our customers : the
only data we receive is an automatic confirmation
of your payment. This means that we will NOT be in 
possession of your credit card information after 
your payment through this form. 

All amounts are in EURO. Indicative exchange rates 
to/from major currencies can be found by clicking on
the currency converter link at the bottom of the form.


2. Bank transfer

COMPANIES and INDIVIDUALS having a bank account in
Belgium have the possibility to pay by bank transfer 
to our account, without additional charge.

If the payment is to be made from another country, 
please check that the amount that arrives on our
account corresponds exactly, in EURO, to the amount
indicated on this form, with the option BY BANK
TRANSFER as PAYMENT METHOD. Currency exchange charges
and other fees asked by your bank are supported by you.

We only bear the costs asked by our destination bank
in Belgium. An additional fixed sum is asked to cover
these charges : 15 EURO (VAT 21% excl) for transfers
from within the European Union, 30 EURO if the transfer
is made from another country.

This sum is automatically included in the amount TO PAY
indicated at the bottom of the form, when you select
BY BANK TRANSFER option as PAYMENT METHOD.

If you wish to speed up the processing of your order, you
should give instruction to your bank to advise us by fax
(++32.10.24.66.89) as soon as the payment transaction is 
initiated. Otherwise, delivery will always be delayed until 
the payment transaction is completed.

If you choose BY BANK TRANSFER as PAYMENT METHOD, clicking
on the CONFIRM ORDER button will send us your order.
Orders are stored during 45 days, waiting for your payment. 
Passed this time limit, you will have to place a new order.


VIII. Value Added Tax

The VAT (Value Added Tax) is a tax which applies to goods
and services sold in the European Union.

Under article 21,§3,7°,a of the Belgian VAT code (transfer 
of licenses), no VAT is to be paid for the software licenses
if you reside outside of the territory of the European Union.
In this case, your name and full address are always required 
for administrative purposes.

EU-based companies, if not based in Belgium, can avoid
paying VAT, provided they communicate us their VAT 
number (on the order form), and declare the VAT in 
their own country.

Prices listed above are VAT excluded. On the order 
form however, VAT (at the Belgian rate of 21%) is 
automatically added to the total amount of the order, 
when VAT payment is requested. 

Be carefull when you fill the form (EU companies) : if 
the VAT number is not valid, delivery will be delayed 
until payment of the 21% VAT supplement.


IX. INVOICE / RECEIPT

We make out an invoice for every delivery if you give
us your name and address. By default, the invoice is 
sent by regular post to the address given on the order 
form. If you wish to receive it by fax, please select 
FAX in SEND INVOICE/RECEIPT, and specify your fax number 
(with international prefix). If your fax is repeatedly 
unaccessible, the invoice will be sent by post.

There is no invoice/shipment charges if the total 
amount to pay is higher than 120 EURO or for EU-based
orders. If you don't meet one of these conditions, an
additional 8 EURO will automatically be included in
the AMOUNT TO PAY at the bottom of the form.

You can also select NO in SEND INVOICE/RECEIPT : you 
will then only receive an e-mail receipt with the details 
of the payment. No invoice/shipment will then be charged. 


X. DELIVERY

Software is sent to the e-mail address provided in
the DELIVER SOFTWARE AT field. If you have an alternative
e-mail address (preferably on another server), please
give it, in case the first one is temporarily unaccessible.

Software is delivered by e-mail as attached ZIP files, 
within a time limit of 1 working day (Monday - Friday) 
following the date of the confirmation of your payment 
(this means immediately if you pay now by credit card !).

Any question related to orders which have already been
placed can be sent by e-mail to orders@neuralsemantics.com, 
with the REFERENCE of the order in the subject line.


XI. LIMITATION OF LIABILITY

Neural Semantics accepts no responsibility for delays
and/or non-execution of the delivery if data provided 
on this form is inaccurate and/or missing, and/or if
the e-mail address(es) given for the delivery is(are) 
not operational.
